By accessing or using WizlyTools ("the Service"), available at https://wizlytools.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and WizlyTools ("we," "us," or "our"). We reserve the right to update or modify these Terms at any time, and your continued use of the Service following any such changes constitutes your acceptance of the revised Terms.

WizlyTools provides a collection of free, browser-based data conversion, validation, and transformation tools. Our tools include, but are not limited to, file format converters (such as CSV to JSON, Excel to CSV, PDF processing), data validators, text manipulation utilities, image processing tools, and developer utilities.

All processing is performed locally within your web browser using client-side technologies including JavaScript, WebAssembly, the File API, and Web Workers. Files and data are not uploaded to our servers unless a specific tool explicitly states otherwise. The Service is provided free of charge and does not require account registration.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

By using WizlyTools, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms.
• Not use the Service to process, convert, or manipulate any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Not attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the servers on which the Service is hosted, or any server, computer, or database connected to the Service.
• Not use automated scripts, bots, scrapers, or similar tools to access or interact with the Service in a manner that places an undue burden on our infrastructure.
• Not attempt to reverse-engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law.
• Not use the Service to infringe upon the intellectual property rights of any third party.
• Ensure that you have the right and authority to process any files or data you use with our tools.

You are solely responsible for your use of the Service and for any data or files you process using our tools.

The Service and its original content, features, and functionality are and will remain the exclusive property of WizlyTools and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of WizlyTools.

You retain all rights to the data and files you process using our tools. WizlyTools does not claim any ownership over your input data, output data, or any intellectual property contained therein. Since all processing happens in your browser, we never have access to your files or data.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WizlyTools does not warrant that: (a) the Service will function uninterrupted, be secure, or be available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements or expectations.

You acknowledge that you use the Service at your own risk. We recommend that you always maintain backups of your original files before processing them with any tool.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WIZLYTOOLS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.
• Any errors, inaccuracies, or omissions in the conversion, validation, or processing of your data.
• Any data loss or corruption resulting from the use of our tools.

This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if WizlyTools has been advised of the possibility of such damage.

You agree to defend, indemnify, and hold harmless WizlyTools, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Service, including but not limited to any data or content you process, transmit, or otherwise make available via the Service.
• Your violation of any third-party right, including any intellectual property right or privacy right.
• Any claim that your use of the Service caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. We may also provide notice of significant changes through the Service interface.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, in whole or in part, please stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the United States, and you hereby consent to the personal jurisdiction and venue therein.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
